To upgrade your R2009a Student Version to R2012a without paying, you can:
I cannot think of any other legal method at the moment.

Ozan did not specify that it was R2012A Student Version that was the required target.

The title contains the term "update", but "upgrade" is provided as tag. Anyhow, Ozan did not ask for a method without paying, but he only states, that this "would be good". Finally I have to agree. I'd even prefer to be payed for updating!
It is not satisfying, that a 3 year old Matlab version does not run on a modern OS. Running an old OS means a big disadvantage, but updating Matlab is not cheap and requires exhaustive tests and a few subtle but important modifications in the code.

There is no legal way to upgrade/update a 2009a student version.
Neither applying for a job at TMW nor winning a Matlab contest would be efficient. If the student version costs 100$, working 10 hours for a wage of 10$/h is sufficient. This is a variation of the standard approach:
Bring somebody else to pay for you - offer a counterperformance on demand.
