We are shifting from windows xp to windows 7. so we want to know MATLAB 2006B is compatible with windows 7 (32 bit/64bit) or not?

Why not modernize your whole system? You're going from a 12 year old operating system to the prior operating system (though still being used by many), so why not also upgrade your MATLAB and go from a 7 year old MATLAB to the latest release?

MathWorks stated support for Windows 7 begins with version R2009a, but a 2006 release probably can be able to work. Try this topic for tips on Windows XP compatibility mode. I've also heard (but never verified) that turning off Windows 7's Aero interface may help matters if Java is being uncooperative.
Naturally, if you have the means to upgrade to a more modern release of MATLAB, as Image Analyist suggests, now might be a good time do so.

I would be surprised, if larger programs or Simulink model run "without any problem on all the Matlab versions".
Running R2006B in the XPMode of a VirtualPC involves less sources for unknown or unfixed bugs. I would avoid any possible interferences between the operating system and the Matlab version, when a bullet proof system is required, e.g. when results for publications must be reproducible for 10 years.
